1. Entry Period
The Contest entry period starts as of 9:00 AM ET on 19 December 2017 and closes on 24 January 2018 at 11:59 PM ET (the “Contest Period”). The Contest is sponsored by Stillwell Partners LLC d/b/a Advertising Week (the “Sponsor”). VentureFuel, Inc. (“VFI”) has been retained by the Sponsor to administer the Contest. The Sponsor (or, in Sponsor’s sole discretion, VFI) is and shall remain solely responsible for notifying the finalists.

2. Eligibility
1. The Contest is open to start-up legal entities (corporations, partnerships, or limited liability companies) who were established no earlier than January 1, 2014 or individuals who began working on their Start-Up no earlier than January 1, 2014 (collectively, “Entrants”). All individual Entrants and shareholders/members of business Entrants must be 18 years of age or older at the time of entry into the Contest. Employees, agents and representatives of the Sponsor and its subsidiaries and affiliates, VFI and its subsidiaries or affiliates and each of their respective advertising and promotion agencies, are not eligible to enter the Contest, nor are the parents, siblings and children of any such employee, agent or representative or any person with whom such employee, agent or representative is domiciled. No purchase is necessary to enter the Contest, and sponsorship of Advertising Week Latin America, or any other Advertising Week, will not increase your chances of being selected. There is no monetary or other prize guaranteed or provided with respect to any award.

3. Awards
There will be 10 participants selected, 3 finalists and one ultimate winner. The Awards shall be awarded in the Sponsor’s sole discretion. The Awards consist of the opportunity to present your StartUp concept to a jury on stage during Advertising Week Latin America to be held at Papalote Museo del Nino.

4.How To Participate
The Contest is offered electronically via the Internet. Entrants enter the Contest by following the link to the Sponsor’s website and completing the forms online, reviewing and agreeing to these rules and regulations, and checking the box to become an entrant in the Contest. Entrants may complete only one Entry.

5. Notification
1. On or about 2 February 2018 (the “Notification Date”), the 10 participants will be selected. Participants will be notified by email. Awards will be awarded only on verification by VFI that all Contest requirements have been met by the finalists. Each Award must be accepted as awarded and no substitution, transfer, conversion or assignment of Awards will be allowed. No correspondence will be entered into except with selected Entrants at the email address listed on the VFI systems. The finalists will have 2 calendar days from notification to accept the Award by email. VFI is not responsible for and shall not be liable for late, lost, misdirected acceptances, or unsuccessful efforts to notify the winner, either with respect to communications invited by VFI or by entrant. If a selected Entrant cannot be contacted within the allotted time, VFI reserves the right to void that entry and select another eligible Entrant for that Award. In order to be declared an official winner, the selected Entrants will be required to complete, sign and return to VFI a Declaration and Release Form within 2 days of receipt. If a selected Entrant fails to complete, sign and return the Declaration and Release Form to VFI within 2 days, the Sponsor reserves the right to void that entry and select another eligible Entrant for that Award. By completing, signing and returning the Declaration and Release Form, the Entrant (i) confirms compliance with these Contest Rules and Regulations, (ii) releases and forever discharges the Sponsor, its affiliates and subsidiaries, VFI, its affiliates and subsidiaries and their respective advertising and promotional agencies from all claims, demands, damages, actions and causes of action arising or to arise by reason of the acceptance or use of the Award, and (iii) gives permission to the Sponsor and VFI, at their option, to publish or otherwise use the Entrant’s name, likeness, trademark, logo, address, photograph, voice and comments, without compensation, in any publicity carried out by the Sponsor or VFI or their respective advertising agencies. VFI is not responsible for and shall not be liable for late, lost, or misdirected communication from Advertising Week’s website to the official finalists’ email address.

6. Contest General Rules
By entering the Contest, Entrants agree to abide by these Contest Rules and Regulations, and the decisions of Advertising Week, which are final in all respects. Sponsor reserves the right to amend the Contest Rules & Regulations in its sole discretion.

7. Finalists List
To obtain a copy of the winner list or a copy of the Contest Rules and Regulations, send your request to: Advertising Week, 131 West 33rd Street, Suite 800, New York, NY 10001. Requests must be received no later than February 30, 2018 and must enclose a self-addressed stamped envelope. Any request not complying with the forgoing will not be honored.

8. Disqualification
Neither the Sponsor nor VFI are responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other interruption or error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of this Contest will be disqualified. If so disqualified, VFI reserves the right to terminate the Entrant’s eligibility to participate. In the event any portion of this Contest is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of VFI, which in the sole opinion of VFI, corrupts or impairs the administration, security, fairness or proper entry into the Contest, VFI reserves the right, in its sole discretion, to suspend or terminate the Contest and to award Award(s) to entrants selected at random from the pool of Entrants received up to the point of termination. In no event will more Awards be awarded than those listed in the Contest Rules and Regulations.

9. Tax Information
Liability for any applicable taxes imposed by any government, or any other body or authority, if any, on any Award won is the sole responsibility of the winner of such Award.

10. Applicable Laws
This Contest is subject to all applicable United States federal, state and county laws. Void where prohibited or restricted by law.

11. Award Disclaimer
The Sponsor is solely responsible for the delivery of the Awards to the Award finalists, as declared by VFI. VFI shall not be responsible or liable to Entrants for any losses, damages or costs incurred as a result of Entrants entering the Contest or use of a Award won in connection with this Contest or the failure by the Sponsor to deliver the Award to the winner in accordance with the Contest Rules and Regulations. By participating in the Contest, each Entrant agrees to release and hold harmless VFI and the employees, officers, directors, shareholders, agents, representatives of VFI, its parent company, affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with the Contest or resulting from acceptance, possession, or use of any Award, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy.

12. Data Protection Notice

13. Arbitration
1. Except where prohibited by law, as a condition for participating in this Contest, each Entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Contest, or any Awards provided shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the sponsor; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration Award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain Awards for, and participant hereby waves all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s out-of-pocket expenses (i.e. costs associated with participating in this Contest), and Entrant further waves all right to have damages multiplied or increased.

14. Choice of Law
All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules and Regulations, or the rights and obligations of any participant and Sponsor in connection with the Contest shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
